Terms of Service

These Terms of Service ("Terms") govern your access to and use of the VinylSonar mobile and web application and the website at vinylsonar.ca (together, the "Service"), operated by VinylSonar ("we", "us"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility & your account

• You must be at least 16 years old (or the age of majority in your jurisdiction) to use the Service.
• You are responsible for your account, keeping your credentials secure, and all activity under it.
• You agree to provide accurate information and to keep it up to date.

2. What VinylSonar is

VinylSonar is a platform that lets collectors catalogue records, discover records and sellers nearby, receive alerts, communicate, and list or find records to buy, sell, or trade. We provide the venue and tools; we do not own, inspect, or take possession of the records that users list or trade.

3. Marketplace & user‑to‑user transactions

VinylSonar is a neutral venue and is not a party to any transaction between users. Any purchase, sale, trade, payment, shipping, or exchange of records is solely between the users involved. Specifically:

• We do not verify the identity of users, the existence, ownership, quality, condition, authenticity, legality, or safety of any item, or a user's ability to complete a transaction.
• Prices, condition grades, descriptions, payment, delivery, returns, and refunds are set and handled entirely by the users themselves. Any market value or price estimate shown in the Service is an approximation for information only and is not an offer, appraisal, or guarantee.
• You transact at your own risk and are solely responsible for evaluating and completing your transactions, and for any taxes, duties, or legal obligations arising from them.
• Any dispute between users (including over condition, payment, shipping, or non‑delivery) is between those users. We are not obligated to mediate or resolve it and are not responsible for any loss or damage arising from a transaction or from any user's conduct.

4. User content & conduct

You retain ownership of the content you submit (listings, photos, messages, reviews). You grant us a non‑exclusive, worldwide, royalty‑free license to host, display, and use it as needed to operate and promote the Service. You are responsible for your content and confirm you have the right to share it.

You agree not to:

• List or sell counterfeit, stolen, illegal, or otherwise prohibited items.
• Post false, misleading, infringing, harassing, hateful, or unlawful content.
• Harass, defraud, spam, or impersonate others, or misuse another user's information.
• Interfere with, scrape, or attempt to disrupt or gain unauthorized access to the Service.

We may monitor community rooms and messages for safety, but we are not responsible for content posted by users. We may remove content or suspend accounts that violate these Terms.

5. Subscriptions & purchases

Some features require a paid subscription. Billing, renewals, and cancellations are handled through the applicable app store or payment provider and are subject to their terms. Except where required by law, payments are non‑refundable. We may change pricing or features on a prospective basis.

6. Third‑party links & affiliates

The Service may show links to third‑party retailers (such as Amazon or eBay) and may earn affiliate commissions on qualifying purchases. We do not control and are not responsible for third‑party sites, products, prices, or policies. Your dealings with them are at your own risk.

7. Intellectual property

The Service, including its name, logo, design, and software, is owned by VinylSonar and protected by law. Record catalogue and pricing data may be provided by third parties (such as Discogs) and remain subject to their rights. You may not copy, modify, or create derivative works of the Service except as permitted.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non‑infringement, and accuracy. We do not warrant that the Service will be uninterrupted, error‑free, or secure, or that any listing, price, alert, or valuation is accurate or complete.

9. Limitation of liability

To the maximum extent permitted by law, VinylSonar and its owners, employees, and providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or records, arising from or related to your use of the Service or any transaction between users — even if advised of the possibility. Our total liability for any claim will not exceed the greater of the amount you paid us in the 12 months before the claim or CA$50.

10. Indemnification

You agree to indemnify and hold harmless VinylSonar from any claims, losses, or expenses (including reasonable legal fees) arising from your content, your use of the Service, your transactions with other users, or your violation of these Terms or of any law or third‑party right.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or other users. Sections that by their nature should survive termination (including Sections 3, 7–10) will survive.

12. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict‑of‑laws rules. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada, except where prohibited by your local law.

13. Changes to these Terms

We may update these Terms from time to time. We will post the revised version here and update the "Last updated" date; material changes may also be notified in the app. Continued use after changes take effect constitutes acceptance.
